terms of service

For any image, video, text, audio, or any other content that you upload or post to the Site ("Your Content"), you represent and warrant that:

• You have all necessary rights to submit Your Content to the Site and grant the licenses set forth herein;
• You must be 18+ years of age to access and/or utilize the platform;
• CliqPic will not need to obtain licenses from any third party or pay royalties to any third party with respect to Your Content;
• Your Content does not infringe any third party's rights, including intellectual property rights and privacy rights;
• Your Content was not generated or enhanced, in whole or in part, in any way, shape or form, by any AI (now known or hereafter devised), and you further warrant that you will not upload any content that is wholly or partially generated or altered by artificial intelligence.
• Your Content complies with these Terms of Use and all applicable laws, including but not limited to laws regarding trespass, harassment, and the right of privacy. You acknowledge that while you may photograph or film in many public spaces, some locations may have specific restrictions, and you are solely responsible for obtaining any necessary permissions or complying with any limitations. You agree not to submit any content that violates the reasonable expectation of privacy of any individual.
• You have obtained all necessary releases and consents for any individuals appearing in Your Content, including but not limited to model releases and property releases, where required by law or custom.

By uploading Your Content, you grant CliqPic a limited, worldwide, non-exclusive, royalty-free license and right to copy, transmit, distribute, publicly perform and display (through all media now known or hereafter created), and make derivative works from Your Content for the purpose of licensing, distributing and/or selling Your Content to third parties, including the right for CliqPic to license and use Your Content for its own marketing and promotional purposes on the same terms and conditions as any other licensee, allowing you to edit and display Your Content using the Site and archiving or preserving Your Content for disputes, legal proceedings, or investigations.

By uploading Your Content, you grant CliqPic a non-exclusive, worldwide, royalty-free license to use Your Content, including for its own internal purposes including, without limitation, for training artificial intelligence and machine learning models. You understand and agree that CliqPic may sublicense these rights to its affiliates, partners, and third parties, including its customers, for the purpose of allowing CliqPic's customers to utilize Your Content for inputting into and training artificial intelligence and machine learning models.

The above licenses will continue unless and until you remove Your Content from the Site, in which case the licenses will terminate within ninety (90) days. Notwithstanding the foregoing, licenses/distributions/sales to third parties, and the license for legal archival/preservation purposes, may continue indefinitely if you remove Your Content from the Site.

As a Creator, you are responsible for ensuring that any content you upload complies with all applicable restrictions. CliqPic reserves the right to determine the appropriate licensing category for any submission, or to reject a submission for any reason.

A. General Content Restrictions

The following restrictions apply to ALL content submitted to CliqPic, regardless of whether it is intended for commercial or editorial use. You may not upload, post, or transmit any video, image, text, audio recording, or other content that:

• Was generated or enhanced, in whole or in part, by any AI.
• Contains any pornographic, defamatory, or otherwise unlawful or immoral content.
• Exploits minors or depicts a minor in any way that violates applicable laws relating to the protection of children.
• Depicts unlawful or violent acts.
• Depicts animal cruelty or violence towards animals.
• Contains or depicts any hate speech.
• Contains any text or emojis.
• Promotes fraudulent schemes or gives rise to a claim of deceptive advertising or unfair competition.
• Violates any law, statute, or regulation.

B. Additional Requirements for Commercial Content

Content submitted for commercial licensing is intended for advertising and promotional use. In addition to the General Content Restrictions above, you represent and warrant that any content submitted for a commercial license:

• Does not infringe any third party's copyrights, trademark rights, or any right of publicity or privacy. This includes, but is not limited to, any visible brand logos, social media names, trademarks, or URLs.
• Does not depict celebrities or other famous personalities.
• Includes all necessary releases and consents for any individuals appearing in Your Content, including but not limited to model releases and property releases where required by law or custom.

C. Additional Requirements for Editorial Content

CliqPic may, at its sole discretion, accept certain submissions to be licensed as "Editorial Use Only". This content is intended to be used for descriptive purposes in a context that is newsworthy or of human interest. In addition to the General Content Restrictions, you represent and warrant that any content submitted for an editorial license:

• Is a truthful depiction of the subject and that any titles or descriptions submitted are accurate.
• Has not been modified in a manner that changes the context of what is depicted.
• May contain images of people, property, or trademarks without a formal release, but only when the content is newsworthy or of public interest (e.g., a photograph of a public event or a protest). You must not submit any content that violates the reasonable expectation of privacy of any individual.
• Is not staged or set up to appear newsworthy when it is not. You are solely responsible for complying with all applicable laws regarding trespass, harassment, and privacy when capturing the content.

You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

You agree to:

• Keep your account login credentials, including your username and password, confidential and do not share them with anyone else.
• Immediately notify CliqPic if you become aware of any unauthorized use of your account or any other breach of security.

You are solely responsible for all activities that occur under your account, whether or not authorized by you. You agree to indemnify and hold CliqPic harmless from any claims, damages, or losses arising out of or related to your failure to maintain the confidentiality of your account information or any unauthorized use of your account.

You may not transfer your account to any other person or entity without CliqPic's prior written consent.

In addition to other restrictions in these Terms of Use, you agree not to:

• Circumvent any technological measures used to enforce limitations;
• Probe, scan or test for vulnerabilities in the Site;
• Access or use the Site with any automated means like bots or scrapers;
• Impersonate CliqPic or any person/entity or misrepresent your affiliation; or
• Interfere with or disrupt the Site or servers/networks connected to it.
• Allow any person under 18 years of age to access or use your account.

Each Creator shall defend, indemnify, and hold harmless CliqPic, its affiliates, licensors, service providers, officers, directors, employees, contractors, agents, successors, and assigns from and against any and all third party claims, demands, actions, proceedings, damages, judgments, settlements, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

• any Content uploaded, submitted, or made available by such Creator;
• any actual or alleged breach by such Creator of these Terms of Service;
• any actual or alleged breach of any representation, warranty, or covenant made by such Creator;
• any actual or alleged infringement, misappropriation, violation, or other impairment of any copyright, trademark, trade secret, right of publicity, right of privacy, moral right, or other proprietary or personal right arising out of such Creator's Content;
• any failure by such Creator to obtain any required release, consent, permission, or authorization; or
• such Creator's violation of applicable law.

CliqPic shall have the right to control the defense and settlement of any such matter, provided that CliqPic will not settle any matter in a manner that imposes non-monetary obligations on the Creator without the Creator's consent, not to be unreasonably withheld.

Except as expressly set forth in these Terms of Service, to the fullest extent permitted by law, CliqPic shall not be liable to any Creator for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenues, lost opportunities, or loss of data, arising out of or relating to these Terms of Service, the Site, or any use of or inability to use the Site, even if CliqPic has been advised of the possibility of such damages.

Except for amounts owed by CliqPic to Creator expressly pursuant to a separate written agreement, CliqPic's total cumulative liability to any Creator arising out of or relating to these Terms of Service, the Site, or any Content shall not exceed the greater of (i) the amount actually paid by CliqPic to such Creator for the specific Content giving rise to the claim during the 12 month period preceding the event giving rise to the claim, or (ii) $100. CliqPic shall not be liable for any claim arising out of the acts or omissions of Customers, third parties, or any unauthorized use, copying, downloading, scraping, sublicensing, or other misuse of Content by any third party, except to the extent caused by CliqPic's own breach of these Terms of Service.

As used herein:

• "Content" means all content available for license from the CliqPic website, including Images, Video, and Editorial.
• "Video" means any moving images, animations, films, videos or other audio/visual representations, video elements, visual effects elements, templates, graphics packs, and motion design projects excluding still images, recorded in any format.
• "Image(s)" means still photographs, vectors, drawings, graphics, and the like.
• "Editorial" means still photographs and video appearing under the Editorial tab/section.
• "Visual Content" shall refer collectively to Editorial, Images, and Video.

CliqPic grants you a non-exclusive, non-transferable right to use, modify (except as expressly prohibited herein) and reproduce Visual Content worldwide, in perpetuity, as expressly permitted by the applicable license and subject to the limitations set forth herein.

The rights granted to Customers under any Customer license are personal to the applicable Customer, non sublicensable, and may not be sold, assigned, transferred, shared, or otherwise made available to any other person or entity, except as expressly set forth in these Terms of Service. Notwithstanding the foregoing, if a Customer licenses Content on behalf of its employer or a client, that employer or client may use the Content for the specific licensed end use, provided the Customer has authority to bind that employer or client to these Terms of Service. A Customer may also permit its bona fide subcontractors, printers, manufacturers, distributors, and service providers to access and use the Content solely as necessary to assist with the production or distribution of the Customer's specific licensed end use, provided they do not use the Content for any other purpose.

A COMMERCIAL LICENSE grants Customers the right to use Images and Video as follows:

• in digital and online uses, including websites, online advertising, social media, email marketing, mobile applications, software, and similar online media;
• in printed materials, including packaging, labeling, business materials, point of sale materials, magazines, newspapers, books, and similar printed media, but only with respect to Images;
• in live presentations and live performances; and
• for personal, non-commercial use.

Notwithstanding the foregoing, a Commercial License does not permit any of the following:

• use of Images in out of home advertising, including billboards, transit, signage, street furniture, or similar placements;
• use of Images on merchandise for sale or promotional distribution;
• use of Images in wall art for decorative purposes in a commercial space;
• use of Images and Video in film, video, television series, advertisements, or other audio visual productions;
• distribution of such Video via broadcast television, cable networks, OTT streaming services, theatrical release, or similar premium distribution channels; or
• use of Images and Video as incorporated elements in digital templates for resale, distribution, or other third party use, including where such Content is incorporated into a template, design, or other reusable asset.

AN ENTERPRISE LICENSE grants Customers all rights included in a Commercial License, plus the following additional rights:

• use of Images in out of home advertising, including billboards, transit, signage, street furniture, and similar placements;
• if purchased outright, use of Images in merchandise intended for sale or promotional distribution, provided the merchandise incorporates material creative or functional elements apart from the Image and does not consist primarily of the Image itself;
• use of Images in wall art for decorative purposes in a commercial space owned or controlled by Customer or Customer's client, and not for stand alone sale unless separately authorized by CliqPic;
• use of Images and Video as incorporated elements in film, video, television series, advertisements, and other audio visual productions;
• use of Images and Video as incorporated elements in digital templates for sale, resale, or distribution, provided that use of Video in such digital templates is subject to a maximum of 1,000 licenses unless otherwise expressly approved by CliqPic in writing; and
• distribution of such Video productions through any media or distribution channels, including broadcast television, cable networks, OTT streaming services, theatrical release, and similar platforms, without audience size limitation.

A VIDEO COMP LICENSE grants Customers the right to use watermarked, low resolution Video solely in test, sample, comp, or rough cut evaluation materials. Video Comp Licenses do not permit public display, public distribution, or inclusion in any final materials. Comp Video may be edited, but the CliqPic watermark may not be removed or altered. CliqPic does not currently offer Comp Video licenses but may do so in the future.

AN EDITORIAL LICENSE grants you the right to make a single, editorial use of an item of Editorial content, which single use may be distributed worldwide, in perpetuity.

A "single use" permits the use of Editorial content in a single context (i.e., a news story, blog post, page of a publication) a single time, provided you shall have the right to distribute that use in-context across unlimited mediums and distribution channels.

An "editorial use" is a use made for descriptive purposes in a context that is newsworthy or of human interest and expressly excludes commercial uses such as advertising or merchandising.

Any use of Editorial Content licensed is subject to any "special restrictions" (e.g., geographical or industry-specific usage restrictions) indicated on the image detail page and/or included in the metadata attached to an item of Editorial Content.

All Editorial content is deemed "Editorial Use Only" for the purposes of this TOS.

Not all Editorial content is available for license from the CliqPic website.

CliqPic offers Commercial and Enterprise subscription accounts.

A Commercial license and account is only available to companies or individuals with under $10M in annual revenue. A Commercial account is not available:

• if you are a company or individual that has, or that forms part of a group of companies that collectively has, an annual revenue of more than USD ten (10) million; or
• if you are a governmental or intergovernmental organization or public institution.

An Enterprise license and account is available to companies or individuals. Companies or individuals with over $10M in annual revenue must purchase an Enterprise subscription account. Governmental or intergovernmental organizations and public institutions must also purchase an Enterprise subscription account.

CliqPic offers both subscription and outright purchase options for assets. License terms may vary depending on the purchase model.

Customers may not:

• Use Content other than as expressly provided by the license you purchased with respect to such Content.
• Portray any person depicted in Visual Content (a "Model") in a way that a reasonable person would find offensive, including but not limited to depicting a Model: a) in connection with pornography, "adult videos", adult entertainment venues, escort services, dating services, or the like; b) in connection with the advertisement or promotion of tobacco products; c) in a political context, such as the promotion, advertisement or endorsement of any party, candidate, or elected official, or in connection with any political policy or viewpoint; d) as suffering from, or medicating for, a physical or mental ailment; or e) engaging in immoral or criminal activities.
• Use Visual Content to impersonate any person or entity, or to create a false identity.
• Use any Visual Content in a pornographic, defamatory, or deceptive context, or in a manner that could be considered libelous, obscene, or illegal.
• Modify Visual Content designated "Editorial Use Only" in a manner that changes the context of what is depicted.
• Use Visual Content designated "Editorial Use Only" (including, but not limited to, Editorial content) for commercial purposes, including for reference, in any advertising, merchandise or other non-editorial contexts.
• Resell, redistribute, sublicense, provide access to, share or transfer, or make available any Content or any rights in any Content to any third party, except as expressly permitted by these Terms of Service. By way of example only, you may not upload Content to any other stock media platform, marketplace, template library, database, gallery, or similar service from which third parties may search, select, access, license, or use the Content.
• Use Visual Content in a manner that infringes upon any third party's trademark or other intellectual property or would give rise to a claim of deceptive advertising or unfair competition.
• Use any Visual Content (in whole or in part) as a trademark, service mark, logo, or other indication of origin, or as part thereof.
• Falsely represent, expressly or by way of reasonable implication, that any Visual Content was created by you or a person other than the copyright holder(s) of that Visual Content.
• Use Visual Content in any manner that depicts a minor (under the age of 18) in a sexually explicit, exploitative, or endangering way, or in any way that violates applicable laws relating to the protection of children.
• Use Visual Content in a manner that violates the reasonable expectation of privacy of any individual.
• Use Visual Content in any manner that infringes upon any third party's right of publicity.
• Use Visual Content in any manner that violates any applicable laws and regulations, including those related to privacy and harassment. Customer is solely responsible for determining whether any additional permissions are required for their specific use of such content.
• Use Visual Content containing the likeness of a celebrity or other well-known person for commercial purposes without obtaining any necessary permissions or releases from the celebrity or their representatives. Customer is solely responsible for obtaining any such permissions or releases.
• Use any Content, including any Visual Content, to train, fine tune, validate, test, evaluate, prompt, ground, or otherwise develop, improve, or operate any artificial intelligence or machine learning system, model, or tool, or to create any dataset or database for such purposes, or to permit, enable, or assist any third party to do so. Any use of Content for artificial intelligence or machine learning purposes requires CliqPic's prior written approval in a separate agreement.

Content that depicts identifiable people or properties may require a model or property release. Unless explicitly stated otherwise on the CliqPic website, no such release is provided. You are solely responsible for verifying whether a release exists for your intended use. CliqPic disclaims any responsibility for uses of Content that require but lack a valid release.

The use of Images and Video in connection with news reporting, commentary, publishing, or any other "editorial" context, shall be accompanied by an adjacent credit to the CliqPic contributor and to CliqPic in substantially the following form: "[Profile Handle] / CliqPic.com"

Editorial credits shall take the following form: "[Profile Handle] / Agency / CliqPic"

If and where commercially reasonable, the use of Images or Video in Merchandise or an audio-visual production shall be accompanied by a credit to CliqPic in substantially the following form: "Image(s) or Video (as applicable), used under license from CliqPic.com"

Credit attributions are not required in connection with any other use of Video or Images unless another stock content provider is afforded credit in connection with the same use. For clarity, attribution is always required for Editorial content.

In all cases the credit and attribution shall be of such size, color and prominence so as to be clearly and easily readable by the unaided eye.

CliqPic reserves the right to request documentation or other reasonable evidence at any time to verify your eligibility for a particular subscription tier, including but not limited to the Commercial or Enterprise account. If you misrepresent your eligibility, CliqPic may, in its sole discretion, retroactively terminate or reclassify your subscription and revoke any licenses granted under false pretenses, without refund.

You warrant and represent that:

• You will use the Content and CliqPic's services in compliance with all applicable laws and regulations including, without limitation, all applicable laws and regulations relating to intellectual property and data privacy.
• You will use the Content and CliqPic's services in a manner that does not infringe, or constitute an infringement or misappropriation of any patent, copyright, trademark, trade secret or other interest, proprietary or otherwise, of any individual or entity.

CliqPic warrants and represents that:

• CliqPic's contributors have granted CliqPic all necessary rights in and to the Content to grant the rights set forth in Part I or Part II as applicable.
• Video and Images in their original unaltered form and used in full compliance with this TOS and applicable law, will not: i) infringe any copyright, trademark or other intellectual property right; ii) violate any third parties' rights of privacy or publicity; iii) violate any US law, statute, ordinance, or regulation; or iv) be defamatory, libelous, pornographic or obscene.
• Editorial content in the original unaltered form and used in full compliance with this TOS and applicable law, will not infringe a third party's copyright, it being understood that the foregoing warranty does not apply to elements depicted in the Editorial content.

While CliqPic makes commercially reasonable efforts to ensure the accuracy of keywords and descriptions, as well as the integrity of Visual Content designated "Editorial Use Only", CLIQPIC MAKES NO WARRANTIES AND/OR REPRESENTATIONS REGARDING ANY: I) KEYWORD, TITLES OR DESCRIPTIONS; OR II) AUDIO IN VIDEO.

YOU BEAR SOLE RESPONSIBILITY FOR DETERMINING THE SUITABILITY OF THE CONTENT FOR YOUR USE. THE CONTENT IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, AND EXCEPT AS EXPRESSLY SET FORTH HEREIN, CLIQPIC, ITS LICENSORS AND SUPPLIERS MAKE NO, AND HEREBY DISCLAIM ANY, REPRESENTATIONS, WARRANTIES OR GUARANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO THE CONTENT PROVIDED UNDER THIS TOS.

Each Customer shall defend, indemnify, and hold harmless CliqPic, its affiliates, licensors, service providers, officers, directors, employees, contractors, agents, successors, and assigns from and against any and all third party claims, demands, actions, proceedings, damages, judgments, settlements, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

• any use of Content by such Customer or by any person or entity acting through, on behalf of, or at the direction of such Customer;
• any actual or alleged breach by such Customer of these Terms of Service;
• any use of Content outside the scope of the applicable license;
• any resale, redistribution, sublicensing, uploading, sharing, transfer, or other unauthorized making available of Content;
• any use of Content in violation of applicable law or in a manner that infringes, misappropriates, or violates any third party rights;
• any use of Content in connection with artificial intelligence or machine learning in violation of these Terms of Service; or
• any failure by such Customer to obtain any additional permissions, clearances, approvals, releases, or consents required for the specific use.

CliqPic shall have the right to control the defense and settlement of any such matter, provided that CliqPic will not settle any matter in a manner that imposes non-monetary obligations on the Customer without the Customer's consent, not to be unreasonably withheld.

CliqPic shall not be liable for any damages, costs or losses arising as a result of modifications made to the Content or due to the context in which you use the Content.

Except as expressly set forth herein, to the fullest extent permitted by law, and notwithstanding any other provision of this TOS, the total cumulative liability, in the aggregate, of CliqPic, its licensors and each of their suppliers, to you and anyone claiming by or through you, for any and all claims, losses, costs or damages, of any nature whatsoever in any way related to this TOS, from any cause or causes shall not exceed the actual, direct damages suffered by you up to the actual amount of aggregate fees paid by you to CliqPic under this TOS during the six (6) months prior to such claims underlying any such liability for the specific Content giving rise to such claims.

Neither CliqPic nor any of its officers, employees, managers, members, shareholders, directors or suppliers shall be liable to you or to any other person or entity for any general, punitive, special, indirect, consequential or incidental damages, or lost profits or any other damages, costs or losses arising out of your use of the Content, CliqPic's breach of this TOS, or otherwise, unless expressly provided for herein, even if CliqPic has been advised of the possibility of such damages, costs or losses.

In order to access the Content, you must create a CliqPic account. By creating an account, you agree to provide accurate, current, and complete information during the registration process. You agree to promptly update any account information that becomes outdated or inaccurate.

You are solely responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

You agree to:

• Keep your account login credentials, including your username and password, confidential and do not share them with anyone else.
• Immediately notify CliqPic if you become aware of any unauthorized use of your account or any other breach of security.

You are solely responsible for all activities that occur under your account, whether or not authorized by you. You agree to indemnify and hold CliqPic harmless from any claims, damages, or losses arising out of or related to your failure to maintain the confidentiality of your account information or any unauthorized use of your account.

You may not share or transfer your account to any other person or entity without CliqPic's prior written consent. CliqPic reserves the right to suspend or terminate your account at any time, for any reason, without notice or liability to you. If you require access and usage rights for more than one natural person, please contact CliqPic Customer Service. For clarity, if a user is acting in an employment capacity, the employer will be deemed the licensee for the purposes of the license.

CliqPic may collect and analyze data related to your use of the Site and Content, including but not limited to page views, downloads, browsing behavior, and account activity. This information may be used to improve services, personalize user experience, and for internal analytics and security monitoring. All personal data is handled in accordance with CliqPic's Privacy Policy.

CliqPic respects the intellectual property rights of others and expects its users to do the same. It is CliqPic's policy, in appropriate circumstances and at its sole and absolute discretion, to disable and/or terminate the accounts of users who repeatedly infringe or are repeatedly charged with infringing the copyrights or other intellectual property rights of others.

If you are a copyright owner, or are authorized to act on behalf of one, or authorized to act under any exclusive right under copyright, you may file a notification of copyright infringement taking place on or through the Site. To file a copyright infringement notification with us, you will need to send a written communication that includes substantially the following:

• A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
• Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site.
• Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit the service provider to locate the material.
• Information reasonably sufficient to permit the service provider to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted.
• A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
• A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Please also note that under Section 512(f) any person who knowingly materially misrepresents that material or activity is infringing may be subject to liability.

If you elect to send us a counter notice, to be effective it must be a written communication provided to our designated agent that includes substantially the following:

• A physical or electronic signature of the user.
• Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled.
• A statement under penalty of perjury that the user has a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled.
• The user's name, address, and telephone number, and a statement that the user consents to the jurisdiction of Federal District Court for the judicial district in which the address is located, or if the user's address is outside of the United States, for any judicial district in which the service provider may be found, and that the user will accept service of process from the person who provided notification under subsection (c)(1)(C) or an agent of such person.

These Terms of Use are subject to change by CliqPic, in its sole discretion. Continued use after any changes indicates your acceptance.

CliqPic reserves the right to terminate your access immediately, without notice, if you violate these Terms of Use. Upon termination, your license and permission to access the Site shall end.

Either party may terminate this TOS at any time, with or without cause, by providing written notice to the other party, provided that, except when required by law, CliqPic shall be under no obligation to issue refunds under any circumstances. All fees are non-refundable, even if your account is terminated. Upon termination of this TOS:

• All rights and licenses granted under this TOS shall immediately terminate.
• Any outstanding obligations or liabilities of either party shall survive termination and remain enforceable.
• You must cease all future use of any Content and delete all downloaded Content that has not already been incorporated into a final work product and published or distributed pursuant to a valid license.

If your account or license is terminated due to your breach of this TOS or any applicable agreement, you will not be entitled to any refund of fees paid.

CliqPic will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, natural disasters, government actions, war, terrorism, labor conditions, power failures, internet disturbances, or pandemics.

The Site is based in the United States. CliqPic makes no claims about access or use being legal in other countries. Those accessing from other locations do so at their own risk and must comply with local laws.

All services, Content, and communications are provided in the English language only. By using the Site, you acknowledge that you are sufficiently proficient in English to understand these Terms of Service or have obtained independent assistance in doing so. In the event of any translation of these Terms of Service, the English language version shall control.

Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by binding arbitration administered under the Commercial Arbitration Rules of the American Arbitration Association in effect on the date of the commencement of arbitration, rather than in court, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof or having jurisdiction over the relevant party or its assets. The exclusive place of arbitration shall be Bellevue, Washington. The language of the arbitration shall be English. There shall be one arbitrator. Each party shall bear its own costs in the arbitration.

These Terms of Use are governed by and shall be construed exclusively in accordance with the laws of the State of Washington, without respect to its conflict of laws principles.

These Terms of Use shall be construed neither against nor in favor of any party, but rather in accordance with the fair meaning of the language hereof. The invalidity or unenforceability of any part of these Terms of Use shall not affect the validity or enforceability of the balance hereof.

You may not transfer your account to any other person or entity without CliqPic's prior written consent.

As between the parties, CliqPic shall retain ownership of all Content, CliqPic's services and CliqPic's trademarks. You must not use CliqPic's name, branding or trademarks without CliqPic's prior written consent.

You are responsible for paying all fees associated with your account and/or purchases. Failure to pay these fees may result in the suspension or termination of your account. The fees charged by CliqPic are exclusive of taxes, and all such taxes, direct or indirect, shall be in addition to any fees related to the products you are buying.

Unless expressly stated otherwise by CliqPic in writing, all prices, fees, royalties, commissions, and other payments are calculated and payable in United States Dollars (USD). You are solely responsible for any currency conversion fees, bank charges, wire fees, payment processor fees, withholding taxes, or similar charges imposed by any third party in connection with payments to or from CliqPic.

YOU AND CLIQPIC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and CliqPic agree, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

If any individual term of this TOS is found to be invalid or unenforceable by any legal or regulatory body of competent jurisdiction, such finding will be limited solely to such invalid or unenforceable part, without affecting the remaining parts of such individual term, or any other part of this TOS, so that this TOS shall otherwise remain in full force and effect.

It is expressly understood and agreed that this TOS is entered into solely for the mutual benefit of the parties herein and that no benefits, rights, duties, or obligations are intended by this TOS as to third parties.

In the event that you use fraudulent credit card information to open an account or otherwise engage in any criminal activity affecting CliqPic, CliqPic will promptly file a complaint with www.ic3.gov, the internet crime complaint center, a partnership between the Federal Bureau of Investigation (FBI) and the National White Collar Crime Center.

The CliqPic mobile message service (the "Service") is operated by CliqPic (“CliqPic”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to CliqPic’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of CliqPic through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information. Promotional messages may include promotions, specials, and other marketing offers.

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with CliqPic. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

You may opt out of the Service at any time by replying STOP to +1 888 315 8901, clicking the unsubscribe link (where available) in any text message, or using any other reasonable method permitted by applicable law. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other CliqPic mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.
